1. Introduction

Welcome to CEAUnion.com (the “Platform”, “CEAUnion”, “we”, “us” or “our”). CEAUnion is an Global Professional Ecosystem for CEA Equipment, Technologies & Expertise. Product Directory and listing platform focused on Controlled Environment Agriculture (“CEA”), including greenhouses, indoor and vertical farms, hydroponics, aquaponics, aquaculture/RAS, climate control, automation and related products and services.

By accessing or using CEAUnion, including browsing listings, creating an account, posting products or services, or contacting other users, you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree to these Terms, you must not use the Platform.

These Terms form a legally binding agreement between you and CEAUnion regarding your use of the Platform.

2. Nature of the Platform

2.1 Listing-only marketplace
CEAUnion provides an online space where manufacturers, suppliers, service providers, integrators, consultants and other vendors (“Vendors”) can list CEA-related products and services, and where buyers, project developers, investors and other interested parties (“Buyers”) can discover these listings and contact Vendors directly.

2.2 No involvement in transactions
CEAUnion:

  • does not act as a buyer, seller, distributor, agent, importer, exporter or representative of any party;
  • does not participate in negotiations between Buyers and Vendors;
  • does not handle, receive, hold or transfer any payments on behalf of Buyers or Vendors;
  • does not manage delivery, installation, warranty or after-sales services.

All commercial negotiations, contractual agreements and financial transactions take place directly between Buyers and Vendors, outside of the Platform.

2.3 No guarantee of listings
CEAUnion does not guarantee the existence, availability, quality, legality, compliance, performance, price or suitability of any product, service, job offer or other listing on the Platform. All information is provided by Vendors or users and is their sole responsibility.

3. Eligibility and User Categories

3.1 Business use
CEAUnion is intended primarily for professional and business use (B2B). By using the Platform, you represent that you are:

an individual acting in the course of your business or profession, or

an authorized representative of a company or organization.

3.2 Age requirement
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Platform.

3.3 User types
We may categorize users, for example, as:

  • Vendors (manufacturers, distributors, integrators, consultants, service providers, recruiters, etc.);
  • Buyers (farm owners, developers, investors, engineers, operators, project managers, etc.);
  • Job candidates (professionals seeking CEA-related roles).
  • The same user may act in multiple roles.

4. Account Registration and Responsibilities

4.1 Account creation
To access certain features (such as posting listings, managing profiles, or saving favorites), you may need to create an account. You must provide accurate, current and complete information and keep it updated.

4.2 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use or security breach.

4.3 Business information
If you register on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. All company information you provide (name, address, registration details, certifications, etc.) must be true and not misleading.

4.4 Account suspension or termination
We may, at our discretion and without prior notice, suspend or terminate accounts that:

  • violate these Terms;
  • provide false or misleading information;
  • abuse or disrupt the Platform;
  • are involved in fraud, spam, or other prohibited activities.

5. Listings, Content and User-Generated Information

5.1 User-generated content
The Platform allows users to submit, upload, publish or display content, including:

  • product and service descriptions;
  • photos, technical data, brochures or certificates;
  • company profiles;
  • job postings, CVs or skill profiles;
  • messages and other communications.
  • All such information is “User Content”.

5.2 Responsibility for content
You are solely responsible for your User Content and for ensuring that it is:

  • accurate and not misleading;
  • compliant with applicable laws, regulations and standards;
  • not infringing on any intellectual property, privacy or other rights of third parties.

CEAUnion does not routinely verify or approve User Content and is not responsible for any errors, omissions or misrepresentations.

5.3 Prohibited content
You agree not to post or submit content that:

  • is illegal, fraudulent, defamatory, offensive or discriminatory;
  • promotes violence, hate or harassment;
  • relates to weapons, illegal substances or other prohibited goods or services;
  • violates export control, sanctions, or trade compliance rules;
  • includes personal data of third parties without proper legal basis or consent;
  • contains malicious code, links to harmful sites, or attempts to breach security.

We may remove or modify any content that, in our reasonable opinion, violates these Terms or applicable law.

5.4 Licensing of content to CEAUnion
By posting User Content, you grant CEAUnion a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display and distribute such content solely for the purpose of operating, promoting and improving the Platform (for example, to show your listings, send you leads, display search results, etc.).

You retain ownership of your content; this license does not transfer your intellectual property to CEAUnion.

6. No Payments, No Escrow, No Financial Services

6.1 No payment processing
CEAUnion does not process or hold payments between Buyers and Vendors. Any prices, offers, quotations or payment terms shown on the Platform are purely informational and non-binding. All commercial and financial arrangements are concluded off-platform, directly between the parties.

6.2 No escrow or guarantees
CEAUnion does not offer escrow services, payment guarantees or financial protection. We are not responsible for:

  • non-payment by Buyers;
  • non-delivery or delayed delivery by Vendors;
  • disputes about invoices, taxes, duties, shipping, returns or refunds.

6.3 Independent parties
Each Buyer and Vendor acts as an independent party and is solely responsible for its own legal, tax, customs, regulatory and contractual obligations.

7. No Warranty and No Endorsement

7.1 No endorsement of Vendors or products
CEAUnion does not endorse, recommend or certify any particular Vendor, product, service, manufacturer, brand, job offer, candidate or other listing. Appearance on the Platform does not equate to approval, certification or recommendation.

7.2 “As is” and “as available”
The Platform and all content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including but not limited to warranties of:

  • accuracy;
  • fitness for a particular purpose;
  • merchantability;
  • non-infringement;
  • uninterrupted or error-free operation.

7.3 Technical availability
We do not warrant that the Platform will be available at all times, free of errors, secure or free from viruses or other harmful components. Maintenance, updates, outages or third-party failures may temporarily limit access.

8. Limitation of Liability

8.1 No liability for transactions or listings
To the maximum extent permitted by applicable law, CEAUnion shall not be liable for any direct, indirect, incidental, consequential, special, punitive or exemplary damages arising out of or relating to:

  • any transaction, communication or relationship between Buyers and Vendors;
  • product quality, conformity, performance, safety or compliance;
  • services provided or not provided by Vendors;
  • pricing, discounts, payment terms or financial losses;
  • job offers, recruitment decisions or employment relationships.

8.2 No liability for business decisions
Any decision to purchase, sell, install, design, finance, operate or invest in CEA equipment, systems or services is made solely by you. You are responsible for conducting your own technical, legal, financial and risk assessments, including due diligence on counterparties.

8.3 Total liability cap
If, despite these Terms, CEAUnion is found liable for any claim, our total aggregate liability to you shall be limited to the greater of:

the amount you have paid to CEAUnion for any paid services during the twelve (12) months preceding the event giving rise to the claim (if any), or one hundred (100) EUR.

Some jurisdictions do not allow certain liability limitations; in such cases, the limitation shall apply to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend and hold harmless CEAUnion, its owners, affiliates, officers, employees and contractors from and against any claims, demands, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Platform;
  • your User Content;
  • your transactions or relationships with other users;
  • your violation of these Terms or applicable law;
  • any infringement of rights of third parties.

10. Data, Privacy and Compliance

10.1 General note
CEAUnion collects and processes certain limited personal and business information in order to operate the Platform (for example, account details, contact information, communication logs). Details of such processing, including data subject rights under applicable laws (such as the GDPR in the European Union), are described separately in our Privacy Policy.

10.2 Business contact data
In many cases, the information you provide (such as company details, business email, phone number, role and public business profile) is intended for B2B communication and may be visible to other users of the Platform.

10.3 Your responsibility for data you provide
You are responsible for ensuring that any personal data you provide to us (for example, contact persons, employees, candidates) is shared in compliance with applicable data protection laws, including obtaining necessary consents or establishing other legal bases where required.

10.4 No special categories of data
You must not use the Platform to upload or share special categories of personal data (such as health data, political opinions, biometric data, etc.), except where explicitly and lawfully permitted and clearly necessary (e.g., CVs voluntarily provided by candidates).

11. Intellectual Property

11.1 CEAUnion intellectual property
All content and materials created by or for CEAUnion, including the Platform interface, structure, logos, trademarks, design, software and documentation, are owned or licensed by us and protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer or create derivative works without our prior written consent.

11.2 Use of our name and brand
You may refer to CEAUnion in a fair and descriptive way (e.g., “our products are listed on CEAUnion”), but you may not imply any endorsement or partnership unless explicitly agreed in writing.

12. Acceptable Use

You agree not to:

  • interfere with the security, stability or performance of the Platform;
  • attempt to access accounts or data of other users without authorization;
  • crawl, scrape or harvest data using automated tools beyond what is allowed by our robots.txt or explicit API terms;
  • circumvent any technical or access limitations;
  • use the Platform for spam, phishing or misleading marketing.

We reserve the right to take reasonable measures (including blocking IPs, rate limiting, account suspension) to protect the Platform and its users.

13. Changes to the Platform and to These Terms

We may modify, expand or restrict features of the Platform at any time. We may also update these Terms from time to time, for example to reflect legal changes or new services.

When we make material changes, we will provide reasonable notice (for example, via the Platform interface or by email). Your continued use of the Platform after the effective date of updated Terms will constitute your acceptance of them.

14. Governing Law and Dispute Resolution

14.1 Governing law
Unless mandatory law in your jurisdiction requires otherwise, these Terms shall be governed by and construed in accordance with the laws of USA, without regard to its conflict of law rules.

14.2 Business-to-business relationship
To the extent permitted by law, these Terms apply to business users and professional use. Consumer protection rules may not apply or may apply only in a limited way.

14.3 Dispute resolution
The parties shall first attempt to resolve any dispute amicably through good-faith negotiations. If no resolution is reached within a reasonable period, the dispute shall be submitted to the competent courts of [same jurisdiction as above], unless mandatory law specifies otherwise.

15. Miscellaneous

15.1 Entire agreement
These Terms, together with any additional policies referenced (such as the Privacy Policy), constitute the entire agreement between you and CEAUnion regarding your use of the Platform.

15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 No waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
